Referral Program Terms

These Referral Program Terms ("Referral Terms") govern your participation in the Orbit referral program (the "Program") offered by Orbit Forge, Inc. ("Orbit," "we," "our," or "us").

By participating in the Program, you agree to these Referral Terms. These Referral Terms supplement Orbit's Terms of Service and Privacy Policy (collectively, the "Base Terms"), which are incorporated by reference. If there is a conflict between these Referral Terms and the Base Terms, these Referral Terms control only for the Program.

Orbit may modify, suspend, or terminate the Program at any time as permitted by the Base Terms.

Definitions

"Referrer" means an eligible Orbit user who shares a Referral Link.
"Referred Customer" means a new customer who uses a Referral Link and completes a Qualified Purchase.
"Referral Link" means the unique referral URL/code Orbit provides to you.
"Card" means an Orbit NFC business card purchased from Orbit's official checkout.
"Qualified Purchase" means an eligible purchase that satisfies the Qualified Purchases and Maturation section.
"Reward" means the referral bonus that accrues to a Referrer under the Rewards, Accrual Rate, and Annual Cap section.
"Available Balance" means Rewards that have matured and are available to redeem.
"Calendar Year" means January 1 through December 31.

Eligibility

Referrer Eligibility

To participate and earn Rewards, you must:

Be at least 18 years old (or the age of legal majority where you live).
Have an active Orbit account in good standing (as determined by Orbit).
Reside in the United States or Canada (unless Orbit expands eligibility in Program messaging).
Not be suspended, restricted, or flagged for fraud/abuse.
Not participate through coupon/deal sites, "cash-back" communities, or paid-incentive traffic sources unless Orbit authorizes it in writing.

Orbit may require identity verification or additional information before approving participation or redemption.

Referred Customer Eligibility

A Referred Customer must be a new Orbit customer, meaning they have not previously purchased an Orbit Card and have not previously held an Orbit account, as determined by Orbit in its sole discretion.

How Referrals Work

Orbit provides you a Referral Link in your account. You share the Referral Link with friends, colleagues, or your audience in compliance with these Referral Terms and applicable law. If a Referred Customer uses your Referral Link and completes a Qualified Purchase that later matures, a Reward accrues to your balance (subject to caps and review).

Attribution depends on Orbit's tracking and verification. Orbit's attribution decisions are final.

Qualified Purchases and Maturation

Qualified Purchase Requirements

A purchase counts as a Qualified Purchase only if all of the following are true:

The Referred Customer clicks/uses the Referrer's Referral Link (or associated referral mechanism) during checkout.
The purchase is made through Orbit's official checkout (not via marketplaces or unauthorized resellers).
The order includes one or more eligible Cards (as defined above).
The order is successfully paid, not canceled, and not flagged for fraud or abuse.
The order is not returned, refunded, disputed, or charged back during the maturation period.

Orbit may exclude certain transactions from eligibility in Program messaging (e.g., replacement orders, fully refunded orders, suspected resellers, or other abuse patterns).

Maturation Period

Rewards do not become Available Balance immediately. A Qualified Purchase matures 21 days after the purchase date, provided it still meets all Qualified Purchase requirements at that time.

Orbit may extend the maturation period for fraud review, operational issues, or suspected abuse.

Rewards, Accrual Rate, and Annual Cap

Accrual Rate

For each matured Qualified Purchase, the Referrer accrues $10 USD per Card included in that matured Qualified Purchase (the "Reward").

Rewards are calculated based on the number of eligible Cards in the order. Shipping, taxes, tips, and non-card items do not increase Rewards. If any portion of an order is refunded, returned, or charged back, Orbit may reduce or eliminate the Reward associated with that order.

Example: If a Referred Customer buys 3 eligible Cards in one order and it matures, the Referrer accrues $30.

Annual Cap

A Referrer may accrue up to $600 USD in Rewards per Calendar Year.

Once you reach the cap, additional referrals in that Calendar Year do not accrue additional Rewards. The cap resets on January 1 each year. Rewards that do not accrue due to the cap do not carry over.

Adjustments and Clawbacks

If Orbit later determines that a referral, order, or redemption involved fraud, abuse, refunds, disputes, chargebacks, or violations of these Referral Terms or the Base Terms, Orbit may:

Withhold unredeemed Rewards,
Reduce your Available Balance,
Offset future Rewards, and/or
Where permitted by law, seek repayment for Rewards already redeemed.

Redeeming Your Available Balance

Orbit uses Tremendous to deliver Rewards.

Redemption

Once Rewards are in your Available Balance, you may redeem any or all of your Available Balance through the redemption tools Orbit provides (e.g., in-product redemption flow and/or an email redemption link).

Delivery and Third-Party Terms

Tremendous may require you to complete verification steps and is subject to its own terms and policies. Available payout options (e.g., gift cards, prepaid options, etc.) may vary by recipient, location, and compliance requirements. Redemption links and/or reward selections may expire depending on provider rules; you are responsible for redeeming promptly.

Orbit is not responsible for delays, errors, outages, or restrictions caused by Tremendous or other third parties after Orbit initiates the payout/reward process. Orbit's responsibility generally ends when Orbit (or Tremendous on Orbit's behalf) sends the redemption instructions to the email address designated for your Orbit account.

You agree that you will not:

Spam, send unsolicited bulk messages, or use automated systems/bots to generate referrals.
Misrepresent Orbit, the Program, or the Reward.
Post Referral Links on coupon/deal aggregation sites or paid incentive networks unless Orbit authorizes it in writing.
Impersonate Orbit or use Orbit trademarks in misleading ways (including misleading domains/ads).

You are responsible for complying with all applicable marketing laws and platform rules, including making any required disclosures (for example, guidance from the Federal Trade Commission about disclosing that you may receive a benefit for referrals).

Fraud, Abuse, and Disqualification

Orbit may withhold, deny, revoke, or cancel any Reward (and/or suspend Program access) if Orbit determines, in its sole discretion, that there is fraud, abuse, or suspicious activity, including:

Self-referrals or attempts to create multiple accounts
Stolen or unauthorized payment methods
Excessive refund/dispute/chargeback patterns
Attempts to manipulate attribution (cookie stuffing, link hijacking, etc.)
Any violation of these Referral Terms or the Base Terms

Orbit's decisions on eligibility, fraud, attribution, and payout approval are final.

Taxes

You are responsible for all taxes and reporting obligations arising from Rewards. Orbit may require tax documentation (e.g., W-9 or other forms) and may delay or withhold redemptions until required documentation is provided, where applicable.

Program Changes; Suspension; Termination

Orbit may modify, suspend, or terminate the Program at any time, including changing Reward amounts, eligibility rules, caps, and maturation timing. Changes may apply to pending referrals to the extent permitted by law and the Base Terms.

Disputes; Disclaimers; Limitation of Liability

All disclaimers, limitation of liability, arbitration, class action waiver, and governing law provisions in the Base Terms apply to the Program and these Referral Terms as if fully stated here. The governing law is the laws of the State of Delaware, as set forth in the Base Terms.
