Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, web applications, digital profile tools, NFC-enabled metal cards, and related services provided by Orbit Forge, Inc. ("Orbit," "we," "our," or "us"). By accessing or using any part of the Orbit platform, including purchasing and activating an Orbit card, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
Overview of the Service
Orbit provides NFC-enabled metal business cards ("Cards") and a web-based platform ("Platform") that allows users to create and share digital profiles ("Digital Profiles"). When someone taps an Orbit Card or scans its QR code, the viewer can access the public Digital Profile associated with that card.
The Service includes:
- NFC tap → Digital Profile linking
- QR code linking
- Web dashboard for profile creation and management
- Subscription-based features (Free tier and Pro tier)
- Analytics and tap tracking
- Ability to deactivate a Card remotely
- Ability to transfer Card ownership
Future enhancements may include CRM integrations and team/business account features.
Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service or create an Orbit account ("Account"). By using the Service, you represent and warrant that:
- You have legal authority to enter into these Terms,
- All information you provide is accurate and complete, and
- Your use of the Service complies with applicable laws.
Account Registration and Security
To access the Platform, you must create an Account. You agree to:
- Provide accurate, current, and complete information;
- Maintain the security of your login credentials;
- Keep your Account information updated;
- Notify Orbit immediately of unauthorized Account use.
You are solely responsible for all activities that occur under your Account. Orbit is not liable for losses associated with compromised credentials.
Digital Profiles and User Content
Ownership of Content
You retain ownership of any information, images, media, or other content ("User Content") you upload to your Digital Profile.
License to Orbit
By submitting User Content, you grant Orbit a non-exclusive, worldwide, royalty-free, transferable license to host, store, reproduce, display, and process your User Content solely for the purpose of providing and improving the Service.
Public Nature of Profiles
Orbit Digital Profiles are public by default. Anyone who receives your link, scans your QR code, or taps your Card may view your profile. Orbit is not responsible for actions taken by individuals who access your publicly shared information.
Media Uploads
You may upload profile photos, logos, and other allowed media. You are responsible for ensuring you have the rights to any media you upload.
Use of Orbit Cards
When you purchase or activate an Orbit Card:
- You are licensed to use the Card in connection with the Orbit Platform.
- You may not reverse-engineer, modify, or tamper with the hardware, firmware, or embedded NFC technology.
- You acknowledge that the Card's functionality depends on third-party device compatibility (e.g., smartphones with NFC).
- Orbit may remotely deactivate Cards in cases of fraud, account termination, or at your request.
- Cards may be transferred to another user by using Orbit's ownership transfer tools.
Subscriptions, Payments, and Refunds
Subscription Tiers
Orbit currently offers:
- Free Tier – Limited features
- Pro Tier – Premium features available through subscription
Features included in each tier are described on the Platform and may change from time to time.
Cards + Subscription Model
Orbit Cards can be purchased with or without a subscription.
- If you purchase a Card without subscribing, your account will automatically be placed on Orbit's Free Tier, giving you access to the basic features.
- If you purchase a Card with a Pro subscription, you will have access to all premium features associated with the Pro Tier.
- Purchasing a subscription does not require buying a Card, though some features (e.g., NFC tap functionality) are only available with a physical card.
Payment Authorization
By subscribing to a paid tier, you authorize Orbit to automatically charge your payment method at the start of each billing cycle.
Failed Payments
If a payment fails:
- Orbit may attempt to recharge your payment method;
- Orbit may suspend or restrict access to premium features;
- Persistent non-payment may result in account suspension.
Refund Policy
Orbit offers refunds for:
- Physical Cards, subject to return and inspection policies;
- Subscriptions, subject to prorated or partial refunds as detailed at purchase.
Orbit reserves the right to modify refund policies, but changes will only apply prospectively.
Prohibited Conduct
You may not use the Service to:
- Upload, display, or link to adult content, pornography, or sexually explicit material;
- Conduct or facilitate spam, unsolicited outreach, mass messaging, or automated contact distribution;
- Upload viruses, malware, or malicious code;
- Misrepresent your identity or impersonate others;
- Interfere with or disrupt the Service, servers, or networks;
- Reverse-engineer, scrape, or attempt to extract source code;
- Use the Service to develop competing products;
- Engage in illegal or harmful activities.
Orbit may suspend or terminate your Account for violations of this section.
Third-Party Services and Integrations
The Platform may integrate with third-party tools, services, or future CRM systems. Your use of those services is governed by their respective terms. Orbit is not responsible for data handled by third-party systems or any effects of linking your Account to them.
Ownership and Intellectual Property
Orbit owns all rights to:
- The Platform, software, and codebase
- Card designs, branding, and embedded firmware
- Logos, trademarks, and proprietary visuals
You may not reproduce, modify, distribute, or create derivative works from any part of the Service without written permission.
Analytics and Tap Tracking
Orbit may track:
- Tap events
- Profile visits
- QR scans
- Device-type metadata
This information is used for analytics, product improvement, and providing user insights. Analytics data may be aggregated and anonymized.
Modifications to the Service
Orbit may change, update, or discontinue parts of the Service at any time. For material changes to features, pricing, or these Terms, Orbit will provide reasonable notice (e.g., email or in-dashboard notifications).
Continued use after modifications constitutes acceptance of the updated Terms.
Warranty Disclaimer
The Service, including Cards, is provided on an "as-is" and "as-available" basis. Orbit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Orbit does not guarantee:
- Continuous or error-free operation
- Compatibility with all devices
- That data will not be lost
- That shared information will be used responsibly by others
Limitation of Liability
To the maximum extent permitted by law, Orbit is not liable for:
- Indirect, incidental, special, consequential, or exemplary damages
- Loss of profits, data, goodwill, or business opportunities
- Unauthorized access to your Account
- Misuse of your publicly accessible Digital Profile
- Any issues caused by third-party systems, apps, or devices
Orbit's liability is limited to the greater of:
- The amount you paid to Orbit in the past 12 months, or
- $100 USD.
Some jurisdictions do not allow certain limitations; in such cases, those limitations apply to the maximum allowed extent.
Indemnification
You agree to indemnify and hold Orbit harmless from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:
- Your misuse of the Service;
- Your violation of these Terms;
- Your uploaded content or shared data;
- Your breach of applicable law.
Termination
You may delete your Account at any time. Orbit may suspend or terminate your Account if:
- You violate these Terms;
- You misuse the Service;
- You engage in harmful or fraudulent activity;
- Payment issues persist for paid tiers.
Upon termination:
- Access to the Platform is revoked;
- Cards may be partially or fully disabled;
- Orbit may retain certain data as required by law or business operations.
Arbitration and Dispute Resolution
All disputes arising out of or relating to the Service or these Terms shall be resolved through binding arbitration administered by a reputable arbitration provider in accordance with its rules.
You waive the right to:
- A jury trial
- Participation in class actions
- Litigation in court (except small claims, if eligible)
The governing law is the laws of the State of Delaware, without regard to conflict-of-law rules.
Export Compliance and Legal Use
You agree to comply with all applicable export, trade, and sanction regulations. You may not use Orbit in a restricted or prohibited jurisdiction.
Severability
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary. All other provisions remain in full effect.
Entire Agreement
These Terms, together with any referenced policies or agreements, constitute the full and final agreement between you and Orbit regarding the Service.
